Additional Listing and Total Voting Rights

Application has been made to the London Stock Exchange for the Admission of 995,251 new ordinary shares of 1p each in the Company (the "New Shares") to trading on AIM. The New Shares have been issued as put option consideration for additional 24.5% equity in its US subsidiary LIDA NY LLP in accordance with RNS acquisition announcement issued on 16 March 2016; as well as put option consideration for UK Subsidiaries.

Admission of the New Shares is expected to become effective on 13 June 2017.

The total number of Ordinary Shares in issue on the date of admission will be 78,849,001. Of this total, 700,000 Ordinary Shares are held in treasury. Therefore, the total number of Ordinary Shares in issue with voting rights will be 78,149,001.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
